We are experienced in structuring groups to acquire assets, most often in the real estate sector. We also advise on joint venture arrangements and on corporate restructurings.

Our experience includes:

  • acting for Landsec on its purchase of shopping centres, held by JPUTs, for in excess of £330m
  • advising the directors of a natural resources company on their duties in connection with the sale of its principal asset for US$800m
  • acting for the Reuben Brothers on their £300m acquisition of Burlington Arcade in London’s Mayfair

Finance

We advise borrowers and lenders on loans made to Jersey companies and other entities, and on security taken under Jersey law. We have extensive experience of high-profile real estate finance and acquisition finance matters. We also advise on enforcement of security under Jersey law.

  • advising London and Regional on successive refinancings of its Atlas Hotel portfolio, purchased for circa £575m, with Morgan Stanley.
  • acting for a leading litigation funder in relation to its more than £110m refinancing and other financing matters.
  • advising a far eastern lender on its c.£150m bridge loan and c.£240m standby credit facility to finance the acquisition of a portfolio of central London hotels

We advise on the regulatory and practical aspects of structuring investment into Jersey vehicles and fund formation.

Our experience of the whole lifecycle of our clients’ structures, from establishing vehicles, financing them, buying and selling assets, and finally winding up the structure ensures that we know the structures we work on well. This, and our small team approach, enables us to respond efficiently when Jersey law advice is needed.

We also advise Jersey regulated businesses on other financial services regulatory issues, including AML and change of control consent from the JFSC.
